Curriculum License Agreement

The National Financial Educators Council (“NFEC” or “Licensor”) grants the Licensee of the NFECs’ Licensed Material a limited, non-exclusive, License to use the Licensors’ Curriculum Package (“Curriculum”) for the purpose of teaching financial literacy. The Curriculum Package consists of the Instructors Guide, PowerPoint, Testing, Surveys, Student Guides and all material included with the purchase of the Curriculum Package for Kids, Teens and/or Adults that are designed to teach personal finance to third party participants.  The Curriculum Package does not refer to Programs or Training associated with Certified Financial Education Instructor Training. This license is non-transferable and is limited by the terms set in this Curriculum License Agreement.

The NFEC retains the copyright and all rights not expressly granted to Licensee.  In consideration for the rights granted under this License Agreement (“Agreement”), the Licensee agrees to be bound to the terms herein and agrees that this License shall govern the rights and obligations of the Licensor and Licensee.

1(a). License Acceptance.    The End User accepts the License Agreement by doing any of the following:

a) Logging onto the Licensees Programs and Training webpage.
b) Receiving any Program material sent to the Licensee by the Licensor or the Licensor’s third party distributors, product fulfillment companies or personnel.
c) Downloading any of the Training or Program material.
d) Signing and returning this Agreement.
e) Purchasing the Programs, Curriculum Packages and Training through the NFEC or any of its affiliates, partners, retailers, etc.

1(b) License Terms. Your payment for the Curriculum Packages gives you a 1 year (365 day) license to use the Training, Programs, Curriculum Packages and Material as long as you are in good standing with the NFEC.

1(c) Return of Materials. Materials (Instructors Guide, Testing, Surveys and Pre-printed Student Guides) must be returned to the NFEC if the Annual License is not renewed prior to renewal date. Curriculum Licensee agrees that renewals are automatically processed 365 days after your order and no refunds will be given after your renewal is processed. No refunds will be given after your renewal is processed. All Curriculum materials, instructors’ guides and workbooks associated with the Curriculum must be mailed back and received by the NFEC prior to the renewal date. Upon nonrenewal, the Licensee may not access the Print on Demand Center or membership pages.  If Curriculum License is not renewed all mentions of Licensor and Licensors material must also be removed.

2. Authorized End User.

This Agreement applies to the purchaser identified at the time of purchase and can be defined as a single individual that will utilize this material (“End User”). The only individuals that are able to teach the Curriculum Package are the Certified Financial Education Instructor or Registered Presenter in good standing with the NFEC. The End User is responsible to notify others within their organization that they are bound by the terms of this Agreement.  The Licensee may change the End User by notifying the NFEC within seven (7) days of the purchase.

3. License Granted.

This Licensing Agreement is for a one (1) year, non-exclusive area. The Licensee may deliver financial literacy Curriculum Packages to live, in-person audiences.  Licensees may not teach, share or deliver the Curriculum Package lessons via virtual delivery.  Webinars, teleseminars, video streaming or delivery by other electronic means are prohibited.

3(a) Specific Age-level Licenses Granted.

The Curriculum Package License sets specific age-levels Licensees can serve.  The Licensee is prohibited from presenting, teaching and delivering the Curriculum to any grade level and age range that does not align with the product License purchased. Each grade level and age range served must be taught with the specific Curriculum designed for that age and grade range provided by Licensor.

Licensee is permitted to deliver Licensor Presentations only to grade levels and age groups that fit the Product License purchased. The Curriculum Packages described below must also comply with the Terms described Section 3(b) ‘Specific Location Licenses Granted.

Licensee of Kids PK – 2nd Grade Curriculum are able to serve participants between the ages of 2 to 8.*

Licensee of Kids 3rd – 6th Grade Curriculum are able to serve participants between the ages of 7 to 12.*

Licensee of Kids 6th – 8th Grade Curriculum are able to serve participants between the ages of 10 to 14.*

Licensee of High School (8th to 12th Grade) Curriculum are able to serve participants between ages of 12 to 19.*

Licensee of College Student Non-Credit Curriculum are able to serve current college students that are currently enrolled in the college specified in Section

3(b) of this agreement. This can only be offered as a non-credit course on one college campus only and college students are prohibited from paying for courses.

Licensee of College Students as for-credit course. For-credit college courses can be delivered to current college students on one college campus only that are currently enrolled in the college specified in Section 3(b) of this agreement. This can be offered as a for-credit course and students can pay for attendance.

Licensee of Adult Financial Foundation Curriculum can only be delivered to adults over the age of 18 years old.

Licensee of Adult Advanced Curriculum can only be delivered to adults over the age of 18 years old.
*Age range exceptions apply for participants with special needs. The NFEC provides additional complimentary consultations to those that serve the special needs community and written authorization is needed to teach outside the age ranges covered in this Agreement.

3(b) Specific Location Licenses Granted.

Licensee agree to comply with the Specific Location Licenses Granted and are prohibited from delivering Licensors Curriculum, Presentations or Promotions outside of the terms of this section. This must also comply with the age-level described in Section 3(a) ‘Specific Age-level Licenses Granted’.

Licensee is permitted to deliver Presentations to locations that align with the Licensed Curriculum Packages they purchased only.

Unless otherwise restricted by the Terms and age / grade level restrictions in section 3(a) of this Agreement, Licensees are permitted to deliver presentations with Licensed material at: Your Place of Business, Religious Centers, Government and Community Centers, Nonprofit Organization Locations, Hotels, Conference Centers, Presentation Centers and Meeting Rooms.  The Licensee may also deliver presentations on College Campuses; however, the Licensee is restricted from serving the College or University unless they have purchased a College License from Licensor.

Licensee of Kids Curriculum (PK – 8th) Grade are permitted to deliver presentations with Licensed material to Public and private elementary schools (elementary schools defined as PK through 8th grade).

Licensee of High School (8th to 12th Grade) Curriculum are permitted to deliver presentations with Licensed material to public and private high schools (high schools defined as 8th through 12th grade).

College Campus License.  Licensee are permitted to deliver presentations with Licensed material to students that are currently enrolled at one college location only.  The address of the college served cannot change and a new License must be purchased in order to serve another college or college campus at a different location.

Licensee of High School (8th to 12th Grade), kids Curriculum (PK – 8th), Adult Financial Foundation and Adult Advanced Curriculum are permitted to deliver presentations with Licensed material on college campuses but is prohibited from serving the college, its facility, its students or others from the college campus. No marketing, promotions or other offerings can be made to the college or the student body.

Licensee of the Adult Financial Foundation and Adult Advanced Curriculum that purchase a “Workplace License” are permitted to deliver presentations with Licensed material to corporations or employers. Only those with a “Workplace License” may market, promote or conduct financial literacy events for corporations or employers.
3(c)Presenters.

Material can only be delivered by NFEC Certified Financial Education Instructors or NFEC Registered Presenters.  No person can deliver the material that is not either a Certified Financial Education Instructor (CFEI) or a NFEC Registered Presenter.  The License provided only provides CFEI and Registered Presenters the ability to deliver Licensors Presentations.

The maximum number of Certified Financial Education Instructors and/or Registered Presenters that can use one Curriculum Package Product License is 10.  Licensees must purchase another Curriculum Package Product License for every 10 Certified Financial Education Instructors and/or Registered Presenters.  Certified Financial Education Instructors and Registered Presenter are set for 1 year and the designation may not be transferred.

Both NFEC Certified Financial Education Instructors and Registered Presenters must adhere to our code of ethics:

1)      Be prepared for all events, talks, workshops, etc. and maintain the highest professional standard which includes: being on time, knowing the material, and educating the attendees.

2)      Are prohibited from giving specific investment or tax advice unless you have the professional certification that allows you to do so.

3)      Ensure all information you are providing is accurate and delivered effectively.

4)      Maintain the highest ethical and educational standards.

5)      The Licensee may not have been convicted of a sex offense or other crime that the NFEC deems inappropriate. The NFEC reserves the right to conduct a background check through the National Sex Offender Registry.

Only Certified Financial Education Instructors and Registered Presenters in good standing with the NFEC can deliver the Curriculum packages and other Licensor provided material.

NFEC Certified Financial Education Instructors must comply with terms and conditions stated on https://www.financialeducatorscouncil.org/curriculum-cfei-terms/ and within this agreement.

The Licensee(s) that select to complete the Licensors Certified Financial Education Instructor program receive a 1 year License to personally take the CFEI course. If the Certification is not renewed the Licensee must immediately discontinue use of the Curriculum Package the day after the Certification expires unless expressed in writing by the Licensor.  The Licensor has the option to become a NFEC Registered Presenter instead of a Certified Financial Education Instructor only if the Licensee has made arrangements with Licensor and is in compliance with the terms in section 3(c) and the Registered Presenter terms of this agreement.

a) Only after the successful completion of a Certified Financial Education Instructor testing and coursework can Licensees refer to themselves as a “Certified Financial Education Instructor”.
b) Annual renewal and annual testing are required to maintain program license and retain authorized end user status.  The annual investment is subject to change by Licensor.
c) The Certified Financial Education Instructor Training and Programs associated with the Licensee training is prohibited to share.  Certified Financial Education Instructor material, business training material and other material designed to educate the Licensee cannot be shared.   The CFEI Program can only be taught directly by the NFEC and may not be shared, taught or delivered to any 3rd party under any circumstances.

2. Registered Presenter.   Registered Presenter has not completed the Certified Financial Education Instructor course but is registered with the NFEC and in good standing.  Being a Registered Presenter or a Certified Financial Education Instructor is required to deliver any of the Licensors Presentations.

a) Registered Presenters must register with the NFEC annually and may not deliver any Presentations until written notice of their registered status is provided by Licensor.
b) Annual renewal is required to maintain Registered Presenter status.  If annual dues are not paid or presenter is not in good standing with the Licensor they are prohibited from delivering the Presentations.   Annual investment is subject to change by Licensor.
c) Licensee may NOT refer to themselves as ‘Registered Presenters’ in marketing, promotions, during instruction, or at any time.  The term ‘Registered Presenters’ is an internal term of the Licensor and prohibited from use outside of direct conversations with the NFEC.

 

3(d) Other Licensee Terms.

a) No copies can be made of the Student Guides located in the Curriculum Package outside the Licensor provided Print on Demand Center.  Licensee must be current on Print on Demand Center annual dues.  Those making photo copies or printing Student Guides outside the Licensors Print on Demand Center violate Licensors copyright and will be charged $125 per Student Guide where Licensors copyright was violated.

b) Licensee can charge for educational services and Presentations rendered.

c) Sponsorships and partnerships may not include credit card companies or lenders whose main business is in high-interest rate loans (defined as above 16% APR) when using Licensed Presentations unless approved by the Licensor at a minimum of two weeks prior to the promotion.   Credit card companies or lenders whose main business is in high-interest rate loans (defined as above 16% APR) cannot be used in marketing or within the Presentations unless approved by the Licensor prior.  This includes educational, marketing and other materials that connects the NFEC to the aforementioned group(s).

d) All marketing, promotion and outreach material must adhere to the guidelines set forth in the Agreement.

e) Licensee may donate the licensed Presentations to other groups upon written approval by the Licensor.

f) Licensee are permitted to present the contents with the Licensors Curriculum Package to participants and those seeking to improve their financial capacities in live, in-person settings only.

j) The licensee agrees that any logos added to the marketing Material, Presentations, Programs and all components of the Campaign Package must be done so by the Licensor. Logos of sponsors, partners and others cannot be used without written permission of the NFEC.  An additional investment may be required to add additional logos.

h) If the Licensee mentions financial education standards in promotions or other forms of communication, Licensee must mention the NFECs “National Financial Literacy Framework & Standards” prior to mentioning any other financial education industry standards In a font type and size relative to those surrounding it and legible to the average reader.

i) The Licensor can modify, adjust or cancel this agreement at any time.  A 30 day written notice will be delivered electronically to Licensee to the email address provided at time of purchase.

j) Licensees agree to protect Proprietary Information.  Proprietary Information shall be deemed to include any trade secret, information, process, technique, algorithm, computer program (source and object code), design, drawing, formula or test data relating to any research project, work in progress, future development, engineering, manufacturing, marketing, marketing campaign, promotion, servicing, financing or personal matter relating to the disclosing party, its present or future products, sales, suppliers, clients, customers, employees, investors or business, whether in oral, written, graphic or electronic form.  Licensee shall maintain all Proprietary Information in trust and confidence and shall not disclose to any third party or use any Proprietary Information for any unauthorized purpose.  Proprietary Information shall not be used for any purpose or in any manner that would constitute a violation of any laws or regulations, including without limitation the export control laws of the United States.  No rights or licenses to trademarks, inventions, copyrights, trade secrets or patents are implied or granted under this Agreement.

4. Prohibited Uses.

The Licensee recognizes and agrees that the Program, Training and Curriculum Packages are the property of the Licensor, the National Financial Educators Council, and are copyrighted. The Program contains proprietary information of the National Financial Educators Council and the Licensee may not do any of the following:

a) Copy, reproduce, display, share or disclose information other than as consistent with the License Granted section of this Agreement.

b)  Sell, transfer, license, rent, sublicense, repurpose, combine or adapt the Programs or use them in any manner not expressly authorized by this agreement.

c)  Remove or alter the copyright notice or other legal disclaimers contained within the Program, Training or Curriculum Packages.

d) Licensees may not conduct virtual events with any NFEC Curriculum Packages unless virtual licensee package is purchased.

e) Licensee may videotape themselves using Licensed Curriculum Packages.  Video clips shown to the public are limited to five (5) total minutes of the licensed material unless pre-approved by Licensor.

f) Licensee are not permitted to share, teach or deliver the Training associated with the Licensee training, including sharing instructors guide, Certified Financial Education Instructor material, business training material and other material designed to educate the Licensee. The PowerPoint Curriculum Packages may not be given to participants physically or virtually; however they may be viewed by participants during a Curriculum Package where Licensee maintain control of the Curriculum Packages on Licensees computer.

g) Licensee must be current on annual renewal to use NFEC Programs, Training and Curriculum Packages.

The License to use the Material may be revoked at any time by the Licensor for violations of this agreement.  The license can be revoked upon non-renewal of the Certified Financial Education Instructor training program, upon violation of the terms and conditions, upon forfeiture of CFEI designation or upon the Licensor revoking of CFEI designation.  If your License is revoked there is no refund of any of the monies paid.

5. Name Usage.

Licensee agrees to the name usage terms below:

Private-label Licensee. Licensee cannot use, mention, feature, or promote the Licensors name or brands without written consent of the licensor. If the Licensee mentions financial education standards in promotions or other forms of communication, Licensor must mention the NFECs “National Financial Literacy Framework & Standards” prior to mentioning any other financial education industry standards.

Co-branded, NFEC-branded and other branding options that feature Licensor can mention the National Financial Educators Councils name and/or other branded material per the terms listed in this section.

All mentions of Licensor branded material must include the National Financial Educators Councils name or NFEC.  Examples of acceptable usage – the National Financial Educators Councils’ Real Money Experience or NFECs’ Real Money Experience.  End User must use the name in marketing, press releases, outreach efforts, email blasts, direct mailers, television advertisements, internet marketing and all forms of media, outreach and marketing.  These Names include but is not limited to NFEC, National Financial Capability Strategy, Financial Educators Day, Real Money Experience, Family Savings Challenge, Framework for Teaching Personal Finance, Financial Literacy Framework & Standards, SavingsFund, Financial Educators Council, Certified Financial Education Instructor, Certified Financial Education Professional, Financial EduNation, Money XLive, Cash Cow & Pig E. Bank, Financial EduNation Campaign, Revive the American Dream Movement, Financial Education Leadership Award, Financial Education Instructor Award, Financial Education Community, Ambassador Award, Financial Education Program Award, Financial Education Patriot Award, Financial Education Patron Award, Financial Education Advocate Award, Financial Education Book Award, Financial Education Organization Award, Financial Education Technology Award, Financial Education Game Award, Financial Education Research Award, Financial Literacy Testing Survey Center, Family Money Challenge, Financial Independence Week, Financial Education Publication Award, Core 12 Financial Capability Curriculum, Core 80 Financial Capability Curriculum, Life Stages Financial Literacy Curriculum.

Licensee is prohibited from using any of the NFEC’s brand names as URLs’ social media page names, or in any online format.

Licensee is prohibited from using any of the Licensors name or branded names or similar names in conjunction with any domain names or corporate names.

Upon graduation from the Certified Financial Education Instructor course and notification by the NFEC that you graduated, the End Users and their Organization can refer to themselves as a “Certified Financial Education Instructor” or “NFEC Certified Financial Education Instructor” or “National Financial Educators Councils’ Certified Financial Education Instructor”.  The Licensee may refer to themselves as “NFEC Community Ambassadors”, “NFEC Financial Literacy Community Ambassadors”.  Name Usage is revocable upon violation of any item of the contract, breach of NFEC Code of Ethics or upon 30 day written notice by the NFEC.  Annual renewals must be current to use any of the NFEC names in this section.   Licensee may not use the names of NFEC celebrity supporters.

6. Warranty.

The National Financial Educators Council provides a thirty (30) day limited warranty.  The electronic and physical Programs will be free from physical defects.  The Program will be replaced if the Licensee returns the Programs within 30 days of delivery.  The 30 day warranty is ended and the investment is non-refundable after the NFEC begins work on any custom program which includes program design, web design, custom marketing pieces, media research, media releases, consultation or any other activity that is specifically created or done for the Licensee.  The NFEC does not warrant that the Program will meet the End Users expectation of needs.  End User further understands typographical, spelling or grammar errors do not constitute a defect and no exchanges will be made for these Program errors.

7. Term.

Due to the proprietary and valuable nature of the Training and Program Information, the obligations assumed by the End User shall be unlimited in time or territory or if it is held by a court of competent jurisdiction that this provision is illegal, invalid or unenforceable, shall apply up to five (5) years after disclosure of such Information. NFEC Certified Financial Education Instructor and License are valid for one (1) year and to keep the certification valid. The annual investment starts on the first day of year two (2) to maintain Certified Financial Education Instructor status and have the ability to use the Curriculum Packages.

These terms and conditions are subject to change without notice, from time to time at the Licensors sole discretion. The Licensor will notify you of amendments to these terms and conditions by posting them on the website www.FinancialEducatorsCouncil.org and notifying parties via the email they entered into the system at time of purchase.

8. Assignment.

Recipient may not assign its rights, duties or obligations under this Agreement without the prior written approval of the NFEC.  The NFEC shall have the right to transfer its interest in this Agreement without the consent of the End User.

9.  Governing Law.

This Agreement shall be construed in accordance with, and governed in all respects by, the laws of the State of Nevada, without regard to conflicts of law principles.

10.  Counterparts.

This Agreement may be executed in several counterparts, each of which shall constitute an original and all of which, when taken together, shall constitute one agreement.

11.  Severability.

If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.

12.  Notice.

Any notice required or otherwise given pursuant to this Agreement shall be in writing and mailed certified return receipt requested, postage prepaid, or delivered by overnight delivery service, addressed as follows:

13. Entire Agreement.

This Agreement constitutes the entire agreement between the NFEC and End User, and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.

 

14. No Earnings Projections,

Promises or Representations. Licensee understands and agrees that there are important risk factors that should be considered by you when deciding whether to implement any of the strategies or techniques taught in this financial education course. You recognize and agree that we have made no implications, warranties, promises, suggestions, projections, representations or guarantees whatsoever to you about future prospects or earnings, or that you will earn any money, with respect to your purchase of this financial education course, and that we have not authorized any such projection, promise, or representation by others.

 

Any earnings or income statements, or any earnings or income examples, are only estimates of what we think you could earn. There is no assurance you will do as well as stated in any examples. If you rely upon any figures provided, you must accept the entire risk of not doing as well as the information provided. This applies whether the earnings or income examples are monetary in nature or pertain to advertising credits which may be earned (whether such credits are convertible to cash or not). Certified Financial Education Instructor Agreement

The National Financial Educators Council’s Certified Financial Education Instructor (CFEI) program grants the person that registered for the CFEI training program to use the CFEI program in accordance with the terms below.   The NFEC retains the copyright to all the Material and retains all rights not expressly granted to Person that registered for the CFEI training program. In consideration for the rights granted under this Agreement (“Agreement”), the Person that registered for the CFEI training program agrees the NFEC retains ownership of the Certified Financial Education Instructor designation and is bound to the terms herein. The person that registered for the CFEI training program agrees that this Agreement shall govern the rights and obligations of the NFEC and the Person that registered for the CFEI training program.

1(a). Agreement Acceptance. The End User accepts the Agreement by doing any of the following:

a) Logging onto the Person that registered for the CFEI training programs and Training webpage.
b) Receiving any Program material sent to the Person that registered for the CFEI training program by the NFEC or the NFEC’s third party distributors, product fulfillment companies or personnel.
c) Downloading any of the Training or Program material.
d) Signing and returning this Agreement.
e) Purchasing the Programs, Curriculum Packages and Training through the NFEC or any of its affiliates, partners, retailers, etc.

1(b) Agreement Terms. Your registration in the Certified Financial Education Instructor program gives you a 1 year (365 day) Agreement to study the Training and Material as long as you remain in good standing with the NFEC.

1(c) Return of Materials. Materials (Instructors Guide, Testing, Surveys and Pre-printed Student Guides) must be returned to the NFEC if the Annual License is not renewed prior to renewal date. Curriculum Licensee agrees that renewals are automatically processed 365 days after your order and no refunds will be given after your renewal is processed. If Curriculum License is not renewed all mentions of Licensor and Licensors material must be removed.

1(d) CFEI enrollee must notify the NFEC prior to the annual renewal. The renewal is automatically processed 365 days after your order. No refunds will be given after your renewal is processed. A reminder email will be sent prior to renewal. All CFEI materials, guide, certificate award and workbooks associated with the CFEI program must be mailed back and received by the NFEC prior to the renewal date. All mentions of CFEI, Certified Financial Education Instructor Personal Finance Speakers Association must be removed. CFEI logo and digital badges must also be removed.

1(e) The person that registered for the CFEI training program may not refer to themselves as a Certified Financial Education instructor until the course requirements have been met and Person that registered for the CFEI training program is in compliance with the terms of this Agreement and in good standing with the NFEC.

2.Authorized End User.   This Agreement applies to the person that registered for the CFEI training program identified at the time of purchase and can be defined as a single individual that will utilize this material (“End User”). The only people that are able to log into and access the Certified Financial Education Instructor program are identified at time of purchase. The End User is responsible to notify others within their organization that they are bound by the terms of this Agreement. The Person that registered for the CFEI training program may change the End User by notifying the NFEC within seven (7) days of the purchase.

3. Agreement Granted.   This licensing agreement is for one (1) year. The person that registered for the CFEI training programs or any of their associates may not teach, share or deliver any lessons associated with the Certified Financial Education Instructor course. The Agreement can be revoked at any point and Person that registered for the CFEI training programs must comply with the NFEC terms & conditions.

NFEC Certified Financial Education Instructors must adhere to our code of ethics:

1) Be prepared for all events, talks, workshops, etc. and maintain the highest professional standard which includes: being on time, knowing the material, and educating the attendees.
2) Are prohibited from giving specific investment or tax advice unless you have the professional certification that allows you to do so.
3) Ensure all information you are providing is accurate and delivered effectively.
4) Maintain the highest ethical and educational standards.
5) The Person that registered for the CFEI training program may not have been convicted of a sex offense or other crime that the NFEC deems inappropriate. The NFEC reserves the right to conduct a background check through the National Sex Offender Registry.

3(a) Timing. The Person that registered for the CFEI training programs to complete the NFECs Certified Financial Education Instructor program receive a 1 year Agreement to personally take the CFEI course. The renewal will take place 365 days after the Purchase Date. If the Certification is not renewed the Person that registered for the CFEI training program must immediately discontinue use of all NFEC Material and return all material prior to renewal date unless expressed in writing by the NFEC.  No refunds are issued after renewal is processed.

  1. a) Only after the successful completion of a Certified Financial Education Instructor testing and coursework can Person that registered for the CFEI training programs refer to themselves as a “Certified Financial Education Instructor”.
    b) Annual renewal and annual testing are required to maintain program Agreement and retain authorized end user status. The annual investment is due 365 days after purchase and is subject to change by NFEC.
    c) The Certified Financial Education Instructor Training and Programs associated with the Person that registered for the CFEI training program training is prohibited to share. Certified Financial Education Instructor material, business training material and other material designed to educate the Person that registered for the CFEI training program cannot be shared.   The CFEI Program can only be taught directly by the NFEC and may not be shared, taught or delivered to any 3rd party under any circumstances.

3(b) Other Person that registered for the CFEI training program Terms.

a) No copies can be made of any material associated with the Certified Financial Education Instructor course.
b) Sponsorships and partnerships may not include credit card companies or lenders whose main business is in high-interest rate loans (defined as above 16% APR) when using Agreement Presentations unless approved by the NFEC at a minimum of two weeks prior to the promotion.   Credit card companies or lenders whose main business is in high-interest rate loans (defined as above 16% APR) cannot be used in marketing or within the Presentations unless approved by the NFEC prior. This includes educational, marketing and other materials that connects the NFEC to the aforementioned group(s).
c) All marketing, promotion and outreach material must adhere to the guidelines set forth in the Agreement.
d) If the NFEC financial education standards is used in promotions or other forms of communication, the NFECs “National Financial Literacy Framework & Standards” and the “Framework for Teaching Personal Finance” must be mentioned prior to mentioning any other financial education industry standards.
e) The NFEC can modify, adjust or cancel this agreement at any time. A 60 day written notice will be delivered electronically to NFEC.
f) Person that registered for the CFEI training programs agree to protect Proprietary Information. Proprietary Information shall be deemed to include any trade secret, information, process, technique, algorithm, computer program (source and object code), design, drawing, formula or test data relating to any research project, work in progress, future development, engineering, manufacturing, marketing, marketing campaign, promotion, servicing, financing or personal matter relating to the disclosing party, its present or future products, sales, suppliers, clients, customers, employees, investors or business, whether in oral, written, graphic or electronic form. Person that registered for the CFEI training program shall maintain all Proprietary Information in trust and confidence and shall not disclose to any third party or use any Proprietary Information for any unauthorized purpose. Proprietary Information shall not be used for any purpose or in any manner that would constitute a violation of any laws or regulations, including without limitation the export control laws of the United States. No rights or Agreements to trademarks, inventions, copyrights, trade secrets or patents are implied or granted under this Agreement.

4. Prohibited Uses. The Person that registered for the CFEI training program recognizes and agrees that the Certified Financial Education Instructor course and Framework for Teaching Personal Finance are the property of the NFEC, the National Financial Educators Council, and are copyrighted. The Program contains proprietary information of the National Financial Educators Council and the Person that registered for the CFEI training program may not do any of the following:

a) Copy, reproduce, display, share or disclose information other than as consistent with the Agreement Granted section of this Agreement.
b) Sell, transfer, rent, sublicense, repurpose, combine or adapt the Programs or use them in any manner not expressly authorized by this agreement.
c) Remove or alter the copyright notice or other legal disclaimers contained within the Program, Training or Curriculum Packages.
d) Person that registered for the CFEI training program are not permitted to share, teach or deliver the Training associated with the Person that registered for the CFEI training program training, including sharing instructors guide, Certified Financial Education Instructor material, Framework for Teaching Personal Finance, business training material and other material designed to educate the Person that registered for the CFEI training program.
f) Person that registered for the CFEI training program must be current on annual renewal to use NFEC Programs, Training and Curriculum Packages.

The Agreement to use the Material may be revoked at any time by the NFEC for violations of this agreement. The Agreement can be revoked upon non-renewal of the Certified Financial Education Instructor training program, upon violation of the terms and conditions, upon forfeiture of CFEI designation or upon the NFEC revoking of CFEI designation. If your Agreement is revoked there is no refund of any of the monies paid by NFEC to Person that registered for the CFEI training program.

5. Name Usage.   All mentions of NFEC branded material must include the National Financial Educators Councils name or NFEC. Examples of acceptable usage – the National Financial Educators Councils’ Real Money Experience or NFECs’ Real Money Experience. End User must use the name in marketing, press releases, outreach efforts, email blasts, direct mailers, television advertisements, internet marketing and all forms of media, outreach and marketing. These Names include but is not limited to NFEC, National Financial Capability Strategy, Financial Educators Day, Real Money Experience, Family Savings Challenge, Framework for Teaching Personal Finance, Financial Literacy Framework & Standards, SavingsFund, Financial Educators Council, Certified Financial Education Instructor, Certified Financial Education Professional, Financial EduNation, Money XLive, Cash Cow & Pig E. Bank, Financial EduNation Campaign, Revive the American Dream Movement, Financial Education Leadership Award, Financial Education Instructor Award, Financial Education Community, Ambassador Award, Financial Education Program Award, Financial Education Patriot Award, Financial Education Patron Award, Financial Education Advocate Award, Financial Education Book Award, Financial Education Organization Award, Financial Education Technology Award, Financial Education Game Award, Financial Education Research Award, Financial Literacy Testing Survey Center, Family Money Challenge, Financial Independence Week, Financial Education Publication Award, Core 12 Financial Capability Curriculum, Core 80 Financial Capability Curriculum, Life Stages Financial Literacy Curriculum.

5(a) Person that registered for the CFEI training program is prohibited from using any of the NFEC’s brand names as URLs’ social media page names, or in any online format.

5(b) Person that registered for the CFEI training program is prohibited from using any of the NFECs name or branded names or similar names in conjunction with any domain names or corporate names.

5(c) Upon graduation from the Certified Financial Education Instructor course and notification by the NFEC that you graduated, the End Users and their Organization can refer to themselves as a “Certified Financial Education Instructor” or “NFEC Certified Financial Education Instructor” or “National Financial Educators Councils’ Certified Financial Education Instructor”. The Person that registered for the CFEI training program may refer to themselves as “NFEC Community Ambassadors”, “NFEC Financial Literacy Community Ambassadors”. Name Usage is revocable upon violation of any item of the contract, breach of NFEC Code of Ethics or upon 60 day written notice by the NFEC. Annual renewals must be current to use any of the NFEC names in this section.   Person that registered for the CFEI training program may not use the names of NFEC celebrity supporters.

6. Warranty. The National Financial Educators Council provides a thirty (30) day limited warranty. The electronic and physical Programs will be free from physical defects. The Program will be replaced if the Person that registered for the CFEI training program returns the Programs within 30 days of delivery. The 30 day warranty is ended and the investment is non-refundable after the NFEC begins work on any custom program which includes program design, web design, custom marketing pieces, media research, media releases, consultation or any other activity that is specifically created or done for the Person that registered for the CFEI training program. The NFEC does not warrant that the Program will meet the End Users expectation of needs. End User further understands typographical, spelling or grammar errors do not constitute a defect and no exchanges will be made for these Program errors.

7. Term. Due to the proprietary and valuable nature of the Training and Program Information, the obligations assumed by the End User shall be unlimited in time or territory or if it is held by a court of competent jurisdiction that this provision is illegal, invalid or unenforceable, shall apply up to five (5) years after disclosure of such Information. NFEC Certified Financial Education Instructor and Agreement are valid for one (1) year. The annual investment starts on the first day of year two (2) to maintain Certified Financial Education Instructor status and have the ability to use the Curriculum Packages.

These terms and conditions are subject to change without notice, from time to time at the NFECs sole discretion. The NFEC will notify you of amendments to these terms and conditions by posting them on the website www.FinancialEducatorsCouncil.org and notifying parties via the email they entered into the system at time of purchase.

8. Assignment.   Recipient may not assign its rights, duties or obligations under this Agreement without the prior written approval of the NFEC. The NFEC shall have the right to transfer its interest in this Agreement without the consent of the End User.

9. Governing Law. This Agreement shall be construed in accordance with, and governed in all respects by, the laws of the State of Nevada, without regard to conflicts of law principles.

10. Counterparts.   This Agreement may be executed in several counterparts, each of which shall constitute an original and all of which, when taken together, shall constitute one agreement.

11. Severability.   If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.

12. Notice.   Any notice required or otherwise given pursuant to this Agreement shall be in writing and mailed certified return receipt requested, postage prepaid, or delivered by overnight delivery service, addressed as follows:

13. Entire Agreement.   This Agreement constitutes the entire agreement between the NFEC and End User, and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.

14. No Earnings Projections, Promises or Representations. Person that registered for the CFEI training program understands and agrees that there are important risk factors that should be considered by you when deciding whether to implement any of the strategies or techniques taught in this financial education course. You recognize and agree that we have made no implications, warranties, promises, suggestions, projections, representations or guarantees whatsoever to you about future prospects or earnings, or that you will earn any money, with respect to your purchase of this financial education course, and that we have not authorized any such projection, promise, or representation by others.

Any earnings or income statements, or any earnings or income examples, are only estimates of what we think you could earn. There is no assurance you will do as well as stated in any examples. If you rely upon any figures provided, you must accept the entire risk of not doing as well as the information provided.
